Form your LLC or corporation. Run it in Genaya from day one.
Choose LLC or corporation, pick a state and a package, tell us about the company, and pay once. Genaya prepares and files the formation documents, saves the EIN on the company record, drops every document in the vault, and keeps the legal name and EIN ready to pre-fill GenayaPay onboarding when you start it.
Already using Genaya? Open Business Formation in the appFour steps from an idea to a company that can take payments
Most formation services hand you a PDF and a login you never open again. Genaya files the LLC or corporation and then keeps working: the company record, EIN, documents, registered agent mail, and annual report deadlines all live in the same platform that runs your calls, invoices, and payments.
Choose an entity type, a state, and a package
Pick LLC or corporation, the state you are forming in, and the package that fits. The state filing fee for that entity type shows next to the price before you go any further.
Tell us about the company
Company name and alternatives, addresses, the members and managers of an LLC or the officers of a corporation with their titles, the C or S corporation tax treatment for a corporation, and the details the IRS needs for the EIN. Genaya checks the answers as you go.
Pay once
One itemized invoice: the package, any optional services, and the state fee as its own line at the amount the state charges. Nothing is filed until it is paid.
We file, and everything lands in Genaya
Genaya files with the state and the IRS, tracks the status, and puts the approved documents, the EIN, and the registered agent mail on the company record.
Everything a new company needs, in one order.
The filing, the tax ID, the registered agent and the deadlines that follow, handled from the same place you run the business.
State filing under your company name
Articles of organization for an LLC or articles of incorporation for a corporation, prepared from your answers and filed with the state you choose, with alternative names collected up front in case the first is taken.
EIN from the IRS
The federal tax ID a bank and a payment processor ask for, applied for as part of the package and saved on the company record the moment it is issued.
Registered agent service
A registered agent in the filing state receives legal and state mail for the company and forwards it into Genaya. First year included with LLC Complete and Corporation Complete; renews yearly.
Compliance calendar
Your state's annual report deadline for your entity type lands on the company record with reminders before it is due. In most states Genaya files the report in a couple of clicks; where the state sets the fee per company, Genaya reminds you and you file directly.
One price for the service. The state fee added at cost.
Included on every plan, including the free trial, with nothing to enable. Every package is a one-time service fee, and the state filing fee is always added on top, at the amount the state charges, as its own line on your invoice.
Members and managers are named on the filing, and the company name ends with LLC or a variation the state accepts. LLC Complete adds an operating agreement template you complete with your member details and sign with E-Sign.

State filing fees and annual report requirements for LLCs and corporations
What each state charges to form an LLC or a corporation and what it asks for afterward. The fee and the reporting rule often differ by entity type, so both are listed. These are the state's own fees; Genaya adds them to your invoice at cost.

Genaya tracks your state's deadline on the company record and, in most states, files the report for $199 plus the state fee. Where the state sets the fee per company at filing time (Tennessee and Wyoming for LLCs and Arkansas, Delaware, Illinois, Nebraska, Nevada, Virginia, and Wyoming for corporations), Genaya reminds you before the deadline and you file directly with the state.
Most states process a standard LLC or corporation filing in about 1 to 10 business days after it is submitted; a few take longer, and expedited filing is faster for LLCs in the states that offer it. Processing times are set by each state and change with its workload. Genaya shows the typical window for your state and updates the status as it changes, but never promises a date.
Built for the day the company becomes real
New business owners
Start the company and the system that runs it in one afternoon - the LLC or corporation, the tax ID, and a way to take payments, without four vendors.
Existing Genaya customers
Add a second brand, a new location, or a holding company as a new company in your workspace, with its filings and documents next to the first one.
Agencies, consultants, and contractors
Turn a side project into a real entity, get the EIN a client's accounts-payable team asks for, and invoice under the new name the same week.
Questions people ask before forming a company
Genaya does not choose a state for you. Many owners form in the state where the business actually operates, because a company that does business in another state usually has to register there as well (a foreign qualification) and pay that state's fees too. Others weigh filing fees, annual report costs, and privacy rules. The fee tables on this page show what each state charges; a licensed attorney or tax professional can advise on your situation.

Yes. Business Formation is included on every Genaya plan, including the free trial. There is nothing to enable and no add-on to buy: the only charges are the per-order prices on this page - the package, any optional services, and the state filing fee - billed once when you place an order.
Yes. Genaya files corporations in all 50 states and the District of Columbia with the same three packages as an LLC: Corporation filing $199, Corporation filing + EIN $249, and Corporation Complete $399, each plus the state filing fee at cost. When you order you choose C corporation or S corporation tax treatment (the S election itself is made with the IRS; Genaya files the formation), name the officers with their corporate titles, and pick a name that ends with Inc., Incorporated, Corp., Corporation, Company, or Limited. Corporation Complete includes Genaya's registered agent for the first year; bylaws are not provided. Expedited state filing is available for LLCs only.
Genaya does not choose an entity type for you. In general terms, an LLC is owned by its members and run under an operating agreement, while a corporation is owned by shareholders, run by officers and directors, and elects C or S corporation tax treatment with the IRS. Filing fees and annual report rules differ by entity type in many states - the tables on this page show both - and so do the ownership and tax consequences. A licensed attorney or tax professional can advise on your situation.
A registered agent is a person or company with a physical address in the filing state that receives legal notices and official state mail for your company. Every LLC and corporation is required to have one. With Genaya's registered agent service, the mail the agent receives is delivered into your Genaya account, and the service renews yearly for $199 unless you cancel before the renewal date. Canceling lets the paid year run to its end date, and you can resume the renewal any time until then.
An EIN (Employer Identification Number) is the federal tax ID the IRS assigns to a business. Most banks require one to open a business account, payment processors including GenayaPay use it for verification, and you need one to hire employees. Genaya applies for the EIN as part of the filing + EIN and Complete packages for both LLCs and corporations, or for $149 for a company that already exists. In this launch the EIN application is for US owners who have a Social Security number.
Most states require an LLC or corporation to file a periodic report, every year or every two years, and pay a fee to stay in good standing, and the rule often differs by entity type: Alabama, Arizona, Missouri, New Mexico, Ohio, and South Carolina do not require one for LLCs, and Alabama, Ohio, Oklahoma, and South Carolina do not require one for corporations. Genaya tracks your state's deadline on the company record and reminds you before it is due. In most states Genaya can file it for you in a couple of clicks for $199 plus the state fee. Where the state sets the fee for each company at filing time (Tennessee and Wyoming for LLCs and Arkansas, Delaware, Illinois, Nebraska, Nevada, Virginia, and Wyoming for corporations), Genaya reminds you and you file the report directly with the state. The table on this page lists every state for both entity types.
Most states accept a home address as the company's principal or mailing address, and many states publish the addresses on the formation filing in their public business search. The registered agent address is separate: it must be a physical street address in the filing state where someone is available during business hours, which is what a registered agent service provides. Check your state's public-record rules if privacy matters to you.
States reject a name that is already taken, too similar to an existing company, or missing a required ending such as "LLC" for a limited liability company or "Inc." for a corporation. When you order, Genaya asks for alternative names so the filing can continue with your next choice. If every option is rejected, we contact you for new names before resubmitting. Whether a state refunds or keeps its filing fee on a rejected filing is up to that state.
You pay Genaya once, before anything is filed: the package price, any optional services, and the state filing fee as its own line at the amount the state charges. If a filing cannot be placed, Genaya refunds automatically. Once a state has received a filing, its fee is non-refundable. Registered agent service renews yearly at $199 and can be canceled any time before the renewal date; the paid year runs to its end date and can be resumed until then.
Yes. If your LLC or corporation does business in a state other than the one it was formed in, that state usually requires a foreign qualification. Genaya files it for $249 plus the state fee. A registered agent in that state is required and can be added to the order.
Genaya prepares and files documents at your direction. It is not a law firm and does not give legal or tax advice, does not choose an entity type or a state for you, does not file DBAs (fictitious business names), and does not prepare bylaws or make tax elections with the IRS. Genaya forms LLCs and corporations at this time; other entity types are not yet available. In this launch formation is available to US owners with a Social Security number for the EIN; support for non-US owners is not yet available.
